KBR to spin off mission technology business
HOUSTON, September 25, 2025 – US energy services provider KBR plans to spin off its Mission Technology Solutions segment to form two independent public companies dedicated to science and engineering solutions and government services, KBR announced on Wednesday.
The proposed spin-off has received unanimous approval from KBR’s board of directors and is expected to be completed in H2 2026. By separating its technology solutions business (New KBR) from its national security and space-focused activities (SpinCo), KBR aims to focus more closely on distinct target markets and gain flexibility in capital allocation decisions.
Following the split, New KBR will retain the company’s existing portfolio of more than 85 proprietary process technologies for the ammonia, refining and petrochemicals markets, and continue to provide consulting, engineering and project management services.
In oil and gas, KBR’s engineering engagements include EPC services for the Beachfield Manatee upgrade project in Trinidad and Tobago and FEED contracts for Oman’s Qalhat LNG project and Kuwait’s South Ratqa heavy oil project.
SpinCo will focus on delivering services to the national security and space industries, continuing to operate under a capital-light model and long-term contracts with predictable cashflow.
“Over the last decade, we have successfully transformed KBR into a leading provider of differentiated, innovative, up-market science, technology and engineering solutions. After the spin-off, we expect both companies to retain key elements of KBR’s unique values-driven culture and proven execution approach,” said KBR chair, president and CEO Stuart Bradie.
Bradie will continue as chair, president and CEO of New KBR following the spin-off, while Shad Evans, KBR’s current senior vice-president of financial operations, will assume the role of CFO. A search is underway to appoint leadership for SpinCo.
